At TikTok, our mission is to inspire creativity and bring joy. To achieve that goal, we are committed to celebrating our diverse voices and to creating an environment that reflects the many communities we reach. We believe individuals shouldn't be disadvantaged because of their background or identity, but instead should be considered based on their strengths and experience. We are passionate about this and hope you are too. The TikTok For Good: Launchpad program (the "Program") is for Not-For-Profit and Non-Governmental-Organisations causes, to be led and executed by their creative and media agency partners, or internal agency teams.
The Program is offered by TikTok (defined below) subject to the Eligibility Criteria and terms and conditions ("Terms") set out below. These Terms incorporate and are expressly subject to the TikTok for Business Commercial Terms of Service, including without limitation, the TikTok for Business Advertising Terms, the Community Guidelines, the TikTok Advertising Policies - Industry Entry, and TikTok Advertising Policies - Ad Creatives & Landing Page, (collectively, the “General Terms”). To the extent these Terms conflict with any of the General Terms, these Terms will prevail in so far as they relate to the Program.
In these Terms, “TikTok”, “we”, “us” or "our" means either: TikTok Inc. (US), if you are based in North America; TikTok Information Technologies UK Limited if you are based in the United Kingdom, the EEA or Switzerland; TikTok Australia Pty Ltd, if you are based in Australia or New Zealand; or TikTok Pte. Ltd. (Singapore), if you are based in any other geographic area. “You” or “your” means the entity or individual entering into these Terms. By submitting your details and accepting these Terms, you warrant that you (a) meet the Eligibility Criteria ; (b) have read, understood and agree to these Terms; (c) you are duly authorised to enter into these Terms; and (d) you have read, understood and agree to the terms and conditions of our TikTok Partner Privacy Policy.
A. Eligibility
1) Entry is only available to businesses:
(a) properly registered within their relevant jurisdiction;
(b) with authorised representatives aged 18 years or older;
(c) currently operating within a creative or media agency, production company or brand marketing team in a Not-For-Profit business, or working with a Not-For-Profit; and
(d) either with an existing TikTok Ads Manager account, or willing to open a TikTok Ads Manager account prior to acceptance into the Program,
(the "Eligibility Criteria").
2) Subject to the Eligibility Criteria, no other purchase, payment or consideration of any kind is necessary to enter or win the Program.
B. Entry Process and Judging Criteria

You must: a) meet the Eligibility Criteria outlined in these Terms; b) visit the TikTok For Good: Launchpad website and identify that you are self-nominating through registering your details including full name, title, agency/company, email address, contact number and campaign idea ("For Good Campaign"); c) answer the questionnaire outlined in the TikTok For Good: Launchpad website form; d) include all relevant For Good Campaign materials in submission details; and e) accept these Terms by clicking "accept",
("Entry").

Your For Good Campaign concept will be judged on the following criteria and should: a) Be a unique creative opportunity that can only be articulated on TikTok. Other channels, where necessary, should act only as secondary support for the main TikTok campaign. b) Be a world-class creative concept, with progressive, TikTok-first thinking at the core, pushing the limits of what creativity looks like on TikTok. c) Not contradict or contravene anything that TikTok says globally from a corporate social responsibility perspective, including the ByteDance Code of Conduct, the ByteDance Business Partner Code of Conduct, the TikTok Human Rights Commitment and ByteDance's climate commitment as seen here. d) Drive positive impact within one of TikTok's priority areas: i) Economic empowerment initiatives, including but not limited to youth skills, employment and entrepreneurship; ii) Climate action initiatives, including but not limited to youth climate literacy, action and solutions; iii) Well-being, trust and safety, including but not limited to digital literacy, mental health, anti-bullying, mis and dis-information; iv) Diversity equity and inclusion initiatives, including but not limited to anti-hate speech, or causes supporting marginalised groups. e. Be the original, independent creation of you, not previously published in any form anywhere; and be factually correct, not misleading and free from any claims, including copyright or trademark claims by other parties. Submissions found to be incorrect or misleading will be deemed invalid and TikTok reserves the right to disqualify an Entry it believes breaches any of these conditions,
(together, the "Judging Criteria").
C. Successful Entries

All entries completed and submitted in accordance with these Terms will be judged based on the Judging Criteria by a selection committee made up of TikTok staff across various creative and corporate functions. Successful entries ("Winners") will be notified and receive an invite to continue to the next stage of the Program via email within six (6) weeks of Entry submission ("Invite").

Chance plays no part in determining the Winners.TikTok's decision with respect to Winners is final
,and individual feedback on entries will not be provided. -
Each Winner will be eligible to receive prizes, consisting of: a) Ad Credits in an amount disclosed by TikTok to you in writing via the Invite, to be spent on TikTok self-serve advertising services and/or products for your TikTok For Good Campaign on the TikTok platform only. Any additional Ad Credits or services will be determined at TikTok's sole discretion and agreed in writing. Ad Credits will expire within ninety (90) days of being added to your TikTok Ads Manager account, unless otherwise agreed by TikTok in writing. b) Participation in case studies (based on your Entry), similar to those seen on the TikTok For Business Website. ("Prizes").

TikTok reserves the right to refuse granting a Prize if you do not or your entry does not comply with these Terms or the Eligibility Criteria.

Upon accepting an Invite, you hereby agree to the following terms: a) Ad Credits. Ad Credits will be subject to the TikTok For Business Advertising Credit Terms and Conditions, which you acknowledge you have read, understood and accepted. b) Intellectual Property. As between TikTok and you, you retain ownership of the pre-existing underlying intellectual property rights in any content or material submitted by you as part of your Entry. By submitting an Entry, you hereby grant TikTok and its affiliates a worldwide, perpetual, irrevocable, fully-paid, royalty free, sub-licensable, non-exclusive license to host, use, reproduce, distribute, run, copy, communicate to the public, make available, or perform, show, play or display on the TikTok platforms or in public the Entry and all of its requisite parts including, without limitation, all trademarks, marks, logos, brands, service marks, trade names, copyright, related rights (including any intellectual property rights), database rights and any other content contained in the Entry, for the purposes of external marketing or promotion of TikTok's (and its affiliates') services and products. You confirm that you have obtained any and all necessary third-party clearances to enable you to submit the Entry for the Program and for TikTok’s use of any Entry in accordance with these Terms. At TikTok’s request, you must provide evidence of the same, and if you are unable to provide evidence when requested, then TikTok has the right to disqualify your Entry. Acceptable evidence may include (i) a registration certificate (ii) a licence or assignment agreement (iii) a power of attorney (iv) or other relevant materials, documents or statements that demonstrate you are the copyright owner of the Entry or have been authorised by the copyright owner of the Entry to make the entry. c) Confidential Information. (i) TikTok and Winner (both a "party" and together, "parties") are to keep confidential the other party’s Confidential Information and to establish and maintain adequate security measures to safeguard the other party’s Confidential Information from unauthorized access or use. “Confidential Information” means all information of any kind which would be regarded as confidential by a reasonable business person, that has been disclosed by one party or its employees, officers, representatives, subcontractors or advisers (“Representatives”) to the other party, or its Representative pursuant to these Terms, whether before or after the date of these Terms, and any confidential information concerning the business, affairs, marketing and public relations plans, customers, clients or suppliers of the other party. Confidential Information excludes information that: (a) is, or becomes, generally available to the public through no act or omission by the receiving party; (b) was available to the receiving party on a non-confidential basis prior to disclosure by the disclosing party; (c) was, is, or becomes available to the receiving party on a non-confidential basis from a person who, to the receiving party's knowledge, is not under any confidentiality obligation in respect of that information; (d) is developed by or for the receiving party independently of the information disclosed by the disclosing party; or (e) the parties agree in writing is not confidential. (ii) Neither party will disclose the other party’s Confidential Information in whole or in part to any other person except: (a) to its Representatives who need to know such information for the purposes of carrying out the party’s obligations under these Terms (and the disclosing party will procure that such persons comply with these Terms; (b) as may be required by law, a court of competent jurisdiction, or any governmental or regulatory authority (with reasonable advance written notice to the other party where legally permitted); or (c) with the express prior written consent of the other party. Neither party will use the other party’s Confidential Information for any purpose other than as permitted under these Terms.
d) Production. Production is to be solely funded and executed by you. TikTok will provide required support only in relation to our expertise on the TikTok platform. TikTok will not be responsible for producing any content for you in connection with your For You Campaign or the Program. You will maintain editorial control of your For You Campaign at all times.
e) Creators. Should you wish to engage any creators for your For Good Campaign, you will be responsible for procuring and engaging those creators and any associated costs. Where you engage a creator to promote your products or services, you must ensure that the Branded Content toggle is enabled on any creator content.
f) Costs. For the avoidance of doubt, TikTok will not be responsible for and accepts no liability in respect of:
(i) Any content produced by you or a third party engaged by you in relation to your For Good Campaign;
(ii) Any third party costs incurred by you in relation to your For Good Campaign, including creator and/or talent costs;
(iii) Any engagement between you and any third party engaged by you in relation to your For Good Campaign.
e) Warranties. You hereby confirm and warrant that your For You Campaign does or will not contain:
(i) any content or material that violates or infringes upon any music copyrights, trademarks, rights of privacy, publicity, moral rights, and/or other rights of any person or entity;
(ii) incorporate or otherwise use any content or material that is inappropriate, obscene, defamatory, libellous, discriminatory, unlawful or otherwise in violation of TikTok Terms or applicable laws and regulations.
f) Limitation of Liability. To the maximum extent permitted by law, TikTok (including its respective officers, employees and agents) is not responsible for and excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of (i) the Program, (ii) any technical difficulties or equipment malfunction (whether or not under TikTok's control); (iii) any theft, unauthorised access or third party interference; (iv) any Entry or Prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by TikTok) due to any reason beyond the reasonable control of TikTok; (v) any variation in Prize value to that stated in these Terms; (vi) any tax liability incurred by you; or (vii) use of a Prize.
g) Indemnities. To the maximum extent permitted by law, you agree to indemnify and hold TikTok harmless from and against any and all claims, damages, liabilities, costs and expenses (including legal costs on an indemnity basis) arising from the alleged or actual infringement of any third party copyright, patent, trademark or other intellectual property rights, or other rights, any breach of these Terms and/or arising out of or in connection with the Program.
D. Privacy

To the extent TikTok collects your personal information in order to conduct the Program as well as distribution of the Prizes; you consent to TikTok, its affiliates and service providers using, processing and/or disclosing such personal information provided by you as part of your Entry for this purpose and other specific purposes described in these Terms, in accordance with these Terms and our TikTok Partner Privacy Policy. If the information requested is not provided, you may not be able to participate in the Program.

By participating in the Program, you agree to receive electronic communications from TikTok (such as via email or direct message). You agree that TikTok may, unless otherwise advised, use the personal information provided in your Entry for promotional, marketing, advertising, news and event updates, publicity, research and profiling purposes, including sending electronic messages. In the event you are located in a jurisdiction where double opt-in is required by law, you agree to receive an additional opt-in email from TikTok with respect to the use of the personal information shared within your Entry for promotional and marketing purposes in accordance with these Terms.
E. Promotional Activities

You agree (i) to take part in any and all marketing, promotional, publicity requests from TikTok with respect to the Program, (ii) that TikTok may use your name, voice, photograph, likeness or other personal identifiable information in any media (whether owned by TikTok or external media) for the promotion and publicity of the Program that you may provide TikTok as part of your Entry, (iii) to grant TikTok all consents and waivers necessary for TikTok to run and promote the Program, including in respect of any promotional photographs and/or audio/video recordings taken of you or your For Good Campaign during the Program. For the avoidance of doubt, in the event you are located in a jurisdiction where double opt-in is required by law, you agree to receive an additional opt-in email from TikTok with respect to the use of the personal information shared within your Entry for promotional and marketing purposes in accordance with these Terms.

Winners agree they will not sell or otherwise provide their story and/or photographs to any media or other organisation without TikTok's prior written consent (including via email). You will not, without the prior written approval of TikTok, speak to the press or any other media, or give any interviews or comments relating to the Program.
F. General

You are responsible for any and all expenses incurred in entering or participating in the Program. You will not be reimbursed for any expenses incurred in participating in the Program, including without limitation, costs owed to third parties such as creators or talent.

If the Program is interfered with in any way, or is not able to be conducted as TikTok reasonably anticipated, TikTok reserves the right, at its sole discretion acting reasonably, to disqualify any Entry, or to modify, suspend, terminate or cancel the Program, as appropriate. TikTok also reserves the right to moderate any Entry, and to disqualify any Entry which TikTok reasonably believes has breached these Terms, including where you have acted in a way that may bring TikTok or you into disrepute.

While TikTok will use reasonable efforts to run the Program, TikTok does not guarantee that the Program will proceed as scheduled. TikTok is not responsible for any costs that a Winner may incur because any part of the Program is cancelled or postponed, and no replacement Prize will be provided to Winners if the Program is cancelled or postponed.

TikTok reserves the right to make immaterial changes to these Terms without notice and at any stage during the Program, in which case the "Last Revised" date at the top of these Terms will be updated, so we encourage you to check these Terms regularly for any updates. If updates to these Terms are material, TikTok will provide you with reasonable notice of such updates. The updated Terms will be effective as at the time of posting, or such later date as may be specified by TikTok in the updated Terms.

These Terms and Conditions constitute the whole legal agreement between you and TikTok with respect to the Program and completely replaces any prior agreements between you and TikTok in relation to the Program, whether written, oral or otherwise.

If any court of law, having jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms, and the remaining provisions of the Terms will continue to be valid and enforceable.

You may not assign any of their rights or delegate their obligations under these Terms, whether by operation of law or otherwise, without TikTok's prior written consent (including via email). TikTok may assign these Terms in their entirety without your consent, to TikTok's affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of TikTok's assets.

These Terms, and any disputes arising out of or in connection with these Terms or the Program, shall be governed in accordance with the governing law clauses in the TikTok for Business Commercial Terms of Service. For the avoidance of doubt, if you are based in the United Kingdom, the EEA or Switzerland, the laws of England and Wales will govern these Terms and any claims and disputes (whether contractual or otherwise) arising out of or relating to these Terms or their subject matter.
